Что такое Terms of Use, почему владельцам онлайн-проектов, приложений и мобильных игр не обойтись без пользовательского соглашения и как правильно составить этот документ.
В октябре 2020 года в сети активно обсуждали кейс украинского сервиса онлайн-заказа такси Uklon. Драйвер компании проехал на красный свет и разбил Audi A7 клиента.
Ремонт машины оценили в 360-500 тысяч гривен. В самой компании Uklon отказались нести какую-либо ответственность за инцидент, ссылаясь на пункт 5.2. пользовательского соглашения.
В нем юристы прописали, что вред, нанесенный драйвером, возмещается самим драйвером, а не компанией. Сервис только помогает водителям-фрилансерам находить клиентов, но не обязан нести ответственность за неправильное вождение и материальный ущерб.
Юридический отдел Uklon заранее предусмотрел возможные проблемы и вовремя снял риски с помощью соответствующего пункта.
Какие проблемы у Uklon появились бы без п.5.2 в пользовательском соглашении (или Terms and Conditions)? Компании пришлось бы выплатить пострадавшей стороне до полумиллиона гривен на восстановление авто. А также — возмещать моральный ущерб, оплачивать больничные счета и тд. (при нанесении вреду здоровья).
Из-за чего возникают проблемы с Terms and Conditions для приложений, сайтов и мобильных игр
Как часто при виде фразы «Я согласен с …/I agree with…» в процессе установки или регистрации в приложении человек читает Terms of Conditions? Зачастую, ноль раз из 10. Если дело не касается финансовой, уголовной или персональной ответственности, люди ставят галочку в чекбоксе и идут дальше. Вот почему возникают ситуации, описанные выше.
Посетители интернет-ресурсов относятся несерьезно или игнорируют пользовательское соглашение. Это естественным образом понизило юридическую силу документа. Хотя Terms of Conditions полезный инструмент для защиты собственных прав.
По той же причине сами владельцы онлайн-бизнеса забывают о проработке соглашения между пользователем и компанией. В спорных ситуациях грамотно составленный документ помогает выйти сухим из воды.

Чтобы не использовать много одинаковых по смыслу и сложности терминов: Terms and Conditions, Terms of Use, пользовательское соглашение и тд.– в народе и у юристов прижилось созвучное слово «термзы».
Термзы – крайне полезный документ, который помогает регулировать спорные вопросы между владельцем приложения, сайта или сервиса и пользователями продукта. Грамотно прописанные термзы помогают ускорить процесс подачи жалобы, определить обязанности каждой стороны и разобраться с авторскими правами.
Если хотите обезопаситься, исключить возможные судебные иски или недовольства пользователей, ориентируйтесь на специфику собственного бизнеса. Например, перед составлением первого образца термзов для интернет-магазина изучите минимум 5-10 пользовательских соглашений конкурентов. Анализ бизнеса и изучение документов других компаний поможет понять ключевые моменты.
